Cineplex Could Be Sold as Company Launches Strategic Review

Cineplex has launched a strategic review that could lead to a sale of the company, while naming Bill Walker as chief executive officer effective immediately, the theatre chain announced Wednesday.
Walker joins Cineplex from Landmark Cinemas, Canada’s second-largest theatre exhibitor, where he served as CEO for nine years and helped lead its sale to Belgium-based Kinepolis Group in 2017. His appointment follows a board-led succession process that began after longtime chief executive Ellis Jacob announced his retirement last year.
“I am honoured to join Cineplex at this important time in the Company’s history,” said Walker on Wednesday. “Cineplex is one of Canada’s most recognized and admired consumer brands, supported by outstanding employees and industry-leading assets. I fully support the Board’s commitment to evaluating strategic alternatives and look forward to working closely with the Board, management team and other stakeholders as the Strategic Review progresses.”
Jacob will remain with Cineplex as a special advisor to the board through December 31, 2026, helping with the leadership transition and strategic review.
Board chair Phyllis Yaffe said the review will examine options to maximize shareholder value, including a potential sale of the company. The board believes Cineplex’s current market valuation may not fully reflect the strength of its business.
Cineplex has hired Goldman Sachs and TD Securities as financial advisors, along with Goodmans LLP as legal counsel.
The company remains Canada’s largest film exhibitor with 168 theatres, alongside The Rec Room, Playdium, Cineplex Media and its partnership in the Scene+ loyalty program.
Cineplex has also faced regulatory scrutiny over its online booking fees, which resulted in a $39M fine and a later final court appeal loss. It has continued rolling out promotions to drive attendance, including a holiday deal offering free movies and popcorn.
Cineplex said no decisions have been made and no timetable has been set for the review. There is also no guarantee the process will result in a transaction.
Walker said his focus will remain on operational performance and guest experience regardless of the outcome.
