The financing plan features roughly $35 billion in underwritten public offerings. This total breaks down into about $22.5 billion of Class A common stock and approximately $12.5 billion in depositary shares representing preferred stock.

In addition, major industry players like Nvidia, AMD, and Broadcom have indicated an interest in purchasing up to an aggregate of $5.0 billion of shares in the common stock offering.

This multi-billion dollar capital raise is designed to support the company’s continuous investments in artificial intelligence infrastructure, compute capacity, and personal superintelligence. With capital expenditures expected to reach staggering heights, Meta is turning to the public markets to diversify its funding sources alongside its robust operating cash flow, investment-grade debt, and strategic partnerships.

Meta plans to establish a future at-the-market program upon the trading commencement of its newly introduced Class C common stock. This additional program could potentially bring in up to an additional $60 billion over time, giving the company enormous financial flexibility as it scales its operations.

The social media giant’s core platforms like Facebook and Instagram are seeing record user engagement driven by video growth, while WhatsApp continues to thrive as a primary messaging hub. Meanwhile, new initiatives like the Muse AI network and business agent tools are quickly gaining millions of active users and showing strong commercial intent.

To power these services, Meta is expanding its data center footprint across multiple states and building massive compute superclusters. By leveraging custom silicon and advanced inference optimization, the company aims to make its massive data infrastructure more efficient over the long term.
